Tom is a member of the firm’s executive committee and a partner in the Corporate section. He believes that proper advice includes understanding everything about your client, whether personal or business related. Understanding the ultimate end objectives may be greater or different than the current deal or deals, and keeping a firm compass is very important. Being a complete counselor for his clients, beyond just legal aspects is very important.

Tom’s practice focuses primarily on corporate finance, public and private securities offerings, and private equity and corporate governance issues, with a particular focus on real estate investment trusts, 1031 syndications (Delaware statutory trusts/tenant in common) and private placements of real estate investments.

Tom has represented leading regional, national and international investment banking firms in initial and follow-on public offerings and private placements for REITs and has counseled numerous sponsors on REIT, DST, TIC, Regulation A and private equity syndications. In addition, he advises companies in going-private transactions, and public and private companies and nonprofits with respect to corporate governance as well as securities law reporting compliance and other general corporate matters.

Tom is actively involved in IPA and ADISA. He is also a long time member of the board at ADISA having served many different roles, from President, Chair of the Conference Planning Committee and as a frequent speaker and panel moderator.

Tom also actively manages a portfolio of multifamily commercial properties in Richmond with his wife. He loves spending free time with family, which oftentimes includes outdoor activities. His son is an avid competitive snowboarder, so you will find him on slopes across the country trying to keep up with him and watching his races. Tom also enjoys watching his eldest daughter cheer for VCU and his youngest in gymnastics and cheerleading for Patrick Henry High School.
