Melanie Ramsey works on an assortment of commercial real estate and financing transactions. She regularly assists investors, corporate clients and individuals in matters that include financing, acquisition, leasing, development, and disposition of properties. She is familiar with various financing requirements of lenders that span from regional secured lenders to international financial institutions. Additionally, Melanie regularly drafts and negotiates commercial leases, amendments and renewals.

Additionally, Melanie regularly drafts and negotiates commercial leases, amendments and renewals. 

Prior to joining Williams Mullen, Melanie worked as in-house counsel where she regularly engaged in matters involving Membership Interests Purchase Agreements, entity formation, corporate governance matters, and vendor agreements. She also has experience with trust and estate planning.

Melanie earned her Juris Doctor degree from the University of Kentucky David J. Rosenberg College of Law, where she served as the executive editor of the Kentucky Journal of Equine, Agriculture & Natural Resources Law, and her Master of Science degree and Bachelor of Arts degree from Lee University.

  • Represented an investment company in its creation of a Delaware Statutory Trust to acquire and subsequently lease multiple healthcare facilities for its investment portfolio.  
  • Represented a development company in connection with all aspects of its acquisition and financing of various North Carolina parcels for development as a town home community.
  • Represented an investment company in its creation of a Delaware Statutory Trust to acquire and subsequently lease a warehouse investment property. 
  • Represented an investment company in connection with its initial REIT launch pursuant to a IRC Section 721 rollup, wherein multiple Delaware Statutory Trusts each contributed its respective ownership interests in and to various assisted living facilities in exchange for OP Units in the REIT’s Operating Partnership.  
  • Represented a Software Developer in negotiating the terms of a Software As A Service Agreement.
  • Represented a hospitality organization in its acquisition of a luxury resort.
  • Represented a Trust in negotiating the terms of a private loan.
